In late July 2023, the Security and Exchange Commission (SEC) voted to enact new regulations concerning cybersecurity.
The regulations now require public companies and foreign private issuers to disclose the following:
- Cyber incidents with a material impact or are likely to have a material impact within four days.
- Their annual processes, if any, for assessing, identifying, and managing cyber security risks and threats.
- Any material risks that have affected or reasonably could affect the organization, and how.
- The role of the board and management in overseeing cybersecurity governance.
The rules intend to provide investors with timely and consistent information to help them make informed investment decisions. By increasing scrutiny, these regulations also enforce the adoption of strong cybersecurity and cyber-risk best practices.
An impending concern for many organizations, compliance with these regulations will necessitate an annual cybersecurity disclosure for registrants with fiscal years commencing on or after December 15, 2023. Material incident disclosures will start shortly after, on December 18.
